PURCHASE TERMS AND CONDITIONS

1. General provisions

1.1. These rules of purchase and sale (hereinafter referred to as the Rules) are a legally binding document that establishes the mutual rights, obligations and responsibilities of the Buyer and the Seller when purchasing goods and services on the website www.spapalangahotel.lt (www.palangahotelspa.lt), (hereinafter referred to as the E-store).

1.2. By placing an order, the Buyer confirms that he has read the Rules and agrees to comply with them. The Agreement is considered concluded from the moment the Buyer forms the order and clicks the "Buy" button, and the payment is successfully confirmed.

1.4. The e-store sells: (a) reservations for SPA services and procedures; (b) gift vouchers; (c) special packages (accommodation/leisure); (d) SPA boutique goods (cosmetics, etc.).

1.5. The Agreement is concluded and performed in Lithuanian and English. The Buyer may conclude the Agreement only if he/she is a legally competent person (18 years of age or older) or has the consent of his/her parents/guardians.

2. Prices, taxes and information about goods/services

2.1. All prices in the E-shop are indicated in euros (EUR) and include VAT, if applicable. The final price is provided before confirming the order.

2.2. The Seller has the right to change prices at any time, but changes do not apply to orders already submitted and confirmed by the Seller.

2.3. The properties, composition, usage and storage recommendations of the goods/services are provided in separate descriptions. The photos of the goods are illustrative, and the colors may vary due to the Buyer's screen settings.

3. Placing an order and concluding a contract

3.1. The Buyer creates a cart, enters the necessary data (name, delivery address, e-mail, phone, account details), selects delivery and payment method, marks agreement with the Rules and confirms the order.

3.2. The Seller confirms the acceptance of the order by e-mail. If due to unforeseen circumstances the Seller cannot fulfill the order, he may terminate the contract after informing the Buyer and (if the Buyer refuses a similar product or service) return the money paid.

3.3. The invoice is submitted electronically. The Buyer is responsible for providing correct and complete data.

4. Seller's rights and obligations

4.1. The Seller may temporarily or completely suspend the operations of the E-store in the event of important circumstances without prior notice to the Buyer, and is not liable for any losses incurred by the Buyer at that time, if this occurred due to circumstances beyond the Seller's control.

4.2. If the Buyer attempts to harm the operation, stability or security of the E-store, or violates the Rules, the Seller has the right to restrict or suspend his/her ability to use the E-store without warning.

4.3. The Seller undertakes to provide access to the services of the E-store, deliver goods and provide services under the conditions set out in the Rules and descriptions.

4.4. If, due to unforeseen circumstances, it is impossible to provide the goods or services ordered in the E-store, the Seller may offer a similar product/service or terminate the contract and refund the money (usually within 5 working days, but no later than within 14 calendar days).

5. Buyer's rights and obligations

5.1. The Buyer has the right to purchase goods and services in the E-store, in accordance with the Rules and legal acts.

5.2. The Buyer must pay for the order, accept the goods/services and check the condition of the shipment upon collection. If the Buyer refuses to accept the goods without a good reason, the Buyer, upon the Seller's request, shall cover the return costs.

5.3. The Buyer undertakes not to violate the Rules and not to harm the operation of the E-store; to provide correct contact details; to store login details (if an account is created).

6. Payments and currency

6.1. Payment can be made using Swedbank, SEB, Luminor, Citadele and Šiaulių bankas electronic banking, bank cards (Visa, Mastercard), Apple Pay and Google Pay.

6.2. All payments are made in euros (EUR).

6.3. Payments are processed using the MakeCommerce.lt payment platform, which is managed by Maksekeskus AS (Liivalaia 45, Tallinn 10145, Estonia, reg. no.: 12268475). The rules of the payment processing partner apply to the extent that they do not conflict with these Terms.

6.4. If you choose a bank card or digital wallet, the payment is confirmed immediately; if you choose payment via bank - after being redirected to the bank system.

7. Delivery (for physical goods) and collection

7.1. Goods are delivered via Omniva parcel machines or courier; other methods may be offered upon request. Standard delivery time is 1–2 business days from receipt of payment (excluding non-working days/holidays).

7.2. When ordering goods, the Buyer indicates the exact delivery address and undertakes to accept the shipment himself; if the shipment is transferred to another person at the address specified by the Buyer, it is considered that it has been transferred to the Buyer.

7.3. The delivery price is displayed before confirming the order; additional fees may apply for deliveries to difficult-to-reach areas or outside Lithuania.

7.4. If the Buyer refuses to accept the goods without a valid reason, the Buyer may be charged for shipping and return costs.

8. Reservations and provision of services (SPA services)

8.1. Reservation confirmation: after payment, the Buyer receives a reservation confirmation with the date/time by e-mail.

8.2. Arrival: It is recommended to arrive 10–15 minutes earlier. In case of delay, the service may be shortened without changing the price.

8.3. Change/cancellation: The reservation can be changed or canceled free of charge ≥24 hours before the start of the service (unless otherwise stated in the specific offer). In case of later cancellation or no-show, the amount paid is not refundable.

8.4. Exceptions: according to Article 6.22810(2) of the Civil Code, the consumer's right to withdraw from a distance contract does not apply to leisure services if a specific date or period of provision is established.

9. Gift coupon and special offers

9.1. The gift coupon is valid for 12 months, unless otherwise stated on the voucher or in the offer. The coupon is non-refundable and non-exchangeable for cash; no compensation will be provided if it is lost.

9.2. Coupons and promotions are not cumulative unless explicitly stated otherwise.

10. Return of goods and withdrawal from the contract

10.1. The buyer has the right to withdraw from the distance contract and return the goods of suitable quality within 14 days of receipt of the goods, except for exceptions provided for by law.

10.2. Return conditions: the product must be unused, in its original condition and in its original packaging (except when returning a defective product); complete; documents confirming the purchase must be provided.

10.3. Cosmetics and hygiene products: for health and hygiene reasons, opened or used cosmetics are not returnable; only unopened products can be returned.

10.4. Refund: Refunds will be made in the same manner as payment – usually within 5 working days of receipt of the goods, but no later than 14 calendar days from receipt of the notice of withdrawal. The seller may withhold the refund until the goods are received or proof of dispatch is provided.

10.5. The cancellation rules in Section 8 apply to the Services.

11. Quality of goods, guarantees and non-conformities

11.1. The characteristics of all goods sold are indicated in the description of each item.

11.2. The Buyer must inspect the shipment upon receipt and, if any damage or discrepancies are noticed, immediately note this in the delivery documents and inform the Seller.

11.3. Defects in low-quality goods shall be eliminated, the goods shall be replaced or the money shall be refunded in accordance with the procedure established by the Civil Code.

11.4. Due to different screen settings, the colors, shape or other parameters of the actual goods may differ slightly from those shown in the photos.

12. Intellectual property

12.1. All rights to the content, trademarks, descriptions and visual materials of the website belong to the Seller or are legally used. Copying or otherwise using the content for commercial purposes is prohibited without written permission.

13. Protection of personal data

13.1. Buyer data is processed in accordance with the Privacy Policy and applicable laws. Payment processing partners process data in accordance with their own rules and only to the extent necessary to process the payment.

13.2. Commercial offers are sent by e-mail only after receiving the Buyer's express consent, which the Buyer may revoke at any time.

14. Liability and force majeure

14.1. The Parties are liable for direct losses arising from their fault; the Seller's liability does not exceed the value of a specific order.

14.2. The Parties are exempted from fulfilling their obligations if they cannot be fulfilled due to unforeseen circumstances beyond the control of the Parties (force majeure).

16. Final provisions

16.1. The Seller may amend the Rules; the new version shall be published in the e-shop and shall apply to orders placed after publication.

16.2. If any provision is declared invalid, the remaining provisions shall remain in force.
